1. The following terms and conditions of business and delivery apply to all delivery transactions between stickfeld.de, hereinafter referred to as seller, and the customer, hereinafter referred to as buyer. Deviating provisions of the buyer, in particular deviating purchasing conditions, only become part of the contract if this is expressly confirmed in writing. 1.1 Stickfeld.de delivers exclusively according to their terms and conditions. 2. Delivery takes place from the seller's place of business at the buyer's risk. Shipping costs are borne by the buyer. The seller is expressly permitted to make partial deliveries. The goods will be shipped uninsured. If the buyer fails to accept the goods in time, the seller has the right, after setting a grace period of 7 days, to withdraw from the contract and to demand compensation. 2.1 In the event of force majeure or delays in delivery by a sub-supplier, a promised delivery period or acceptance period will be extended without further agreement by the duration of the hindrance. Claims for damages due to late delivery are generally excluded. 2.2 Stickfeld.de will never pay for travel expenses of any kind. 3. Defective goods must be returned within 7 days at the latest. If the goods are received later, no complaints will be accepted. Customary or minor changes in the quality of the goods cannot be objected to. In the case of wage work carried out by the seller, liability only exists for the work carried out. In the event of defects, the buyer can only request free rework. Complaints can only be processed after viewing the product. 3.1 Samples are always calculated at the unit price. 3.2 Credits for returned samples are generally excluded. 3.3 Stickfeld.de is not obliged to check the buyer's goods for colour, size and quality. The total quantity of the order is decisive. 3.4 The condition of the goods can be checked against assumption of costs. 3.5 The client is solely liable for goods delivered "incorrectly". 3.6 In the case of delivered textiles, stickfeld.de assumes no liability for the durability or the appearance of the finish or the durability of the textile. 3.7 In the case of repeat orders, there may be slight color deviations compared to the previous orders for production reasons. This is not a reason for complaint. 4. Buyer will receive preview for checking before start of production. Once the production release has been granted, the buyer is responsible for the execution and cannot be the subject of a complaint. 4.1 All finished textiles must be turned inside out and cleaned at a maximum of 40 degrees, without the addition of fabric softener. 4.2 All of the buyer's textiles should be delivered unpacked (not individually in a polybag), otherwise an unpacking fee per piece may be charged. 4.3 Stickfeld.de reserves the right to deliver an underdelivery of a maximum of 2% of the order quantity (without subsequent delivery) for ordered and printed goods. This is due to the printing process and is therefore billed for each item. 5. The invoice will be created on the day of dispatch. Valuation requires a special written agreement. Invoices are payable immediately upon receipt without deduction. In the case of bank transfers, the date on which the invoice is settled is the day of the credit note. Payments are always used to settle the older, due debts plus accrued default interest and dunning costs. 5.1 In the case of payments after the due date of the invoice, interest on arrears will be charged in the amount of the bank interest charged to the seller plus bank charges. 5.2 Unauthorized discounts will be requested. 5.3 For each payment reminder by the seller, EUR 5.00 can be charged. 5.4 Invoices can only be paid in cash, by direct debit or by bank transfer. Offsetting against counter-purchases or the repayment of partial amounts are not permitted. 6. All deliveries are subject to retention of title. The delivered goods remain the property of the seller until the purchase price and all other claims of the seller against the buyer from the ongoing business relationship have been paid in full. 7. All offers made by the seller are non-binding and are valid for four weeks from the date the offer was made. 7.1 Subject to prior sale of items. 8. These terms of delivery and payment (GTC) remain valid even if individual parts lose their validity. 9. Patents, trademarks, etc.: Stickfeld.de cannot be held liable for expenses and losses resulting from the infringement of patents, trademarks, officially protected drawings or copyrights according to the drawings, specifications or information provided by the buyer. Stickfeld.de is not responsible to the buyer or third parties for the use of goods that infringe a patent, a protected drawing, copyright, a license motif or a trademark. This also applies to the use of words, drawings and symbols that the buyer has submitted as a print order. The buyer is therefore responsible for the copyright himself and releases stickfeld.de from all claims from third parties that should result from an accusation of improper use. This also applies if stickfeld.de was consulted by the buyer about the graphic and/or technical design. Stickfeld.de reserves the right to reject obviously violent, sexist, political and similar projects. 10. Price changes and errors excepted. 11. German law applies 11.1 Should individual provisions of this contract be ineffective or unenforceable or become ineffective or unenforceable after the conclusion of the contract, the validity of the rest of the contract remains unaffected. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision whose effects come closest to the economic objective pursued by the contracting parties with the invalid or unenforceable provision. The above provisions apply accordingly in the event that the contract proves to be incomplete. 12. Place of performance and place of jurisdiction is Lüdenscheid.
